Please read these Terms of Service carefully before using NeuroMix AI. These Terms govern your access to and use of the Service. By using NeuroMix AI you agree to be bound by these Terms.
By creating an account, accessing, or using NeuroMix AI (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not access or use the Service.
These Terms constitute a legally binding agreement between you ("User") and NeuroMix AI, LLC ("NeuroMix AI," "we," "us," or "our"), a Tennessee limited liability company. We reserve the right to update these Terms at any time. Continued use of the Service after any changes constitutes your acceptance of the revised Terms.
NeuroMix AI is an AI-powered autonomous audio mixing and mastering platform. The Service allows users to upload audio files, which are processed using proprietary machine learning models and third-party stem separation technology to generate mixed audio output files and accompanying reports.
The Service is provided on an "as-is" basis. Features, availability, and output quality may change as the platform develops. During the current beta period, certain features may be limited, modified, or unavailable without notice.
To use the Service, you must create an account by providing a valid email address, your name, and a password. You must verify your email address before accessing the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate accounts that contain inaccurate information or that violate these Terms.
You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent that you are at least 18 years old.
You retain all ownership rights to the audio files you upload to the Service ("User Content"). By uploading audio, you grant NeuroMix AI a limited, non-exclusive, royalty-free license to process, analyze, and transform your audio solely for the purpose of providing the Service to you.
You represent and warrant that: (a) you own or have the necessary rights, licenses, and permissions to upload the audio files; (b) your audio files do not infringe any third-party copyright, trademark, or other intellectual property rights; and (c) your use of the Service does not violate any applicable law or regulation.
NeuroMix AI does not use your uploaded audio files to train its AI models. Audio files are processed to generate your mix and are deleted from our servers within 7 days of your mixing session. Session metadata, mix plans, and performance reports may be retained for longer periods for product improvement purposes.
You are solely responsible for ensuring that you have the rights to upload and process any audio content. NeuroMix AI is not responsible for any copyright infringement claims arising from your uploaded content.
You agree not to use the Service to: (a) upload audio content that you do not own or have rights to; (b) attempt to reverse engineer, decompile, or extract the underlying AI models or source code; (c) use automated scripts, bots, or other means to access the Service in a manner that exceeds normal usage; (d) resell, sublicense, or otherwise commercialize the Service without our prior written consent; (e) upload malicious files or content intended to damage or disrupt the Service; (f) violate any applicable local, state, national, or international law or regulation.
Violation of these prohibitions may result in immediate suspension or termination of your account without notice or refund.
The Service, including all underlying technology, AI models, software, algorithms, interfaces, and content created by NeuroMix AI, is protected by copyright, patent, trade secret, and other intellectual property laws. NeuroMix AI, LLC holds a provisional patent application filed with the United States Patent and Trademark Office covering the core architectural innovations of the platform.
Nothing in these Terms grants you any right, title, or interest in the Service, its underlying technology, or any NeuroMix AI intellectual property, except for the limited license to use the Service as expressly set forth herein.
The mixed audio output files generated by the Service from your uploaded content are yours to use as you see fit, subject to the rights of the original audio content you uploaded.
The free tier of the Service includes 5 mixing sessions per month and 5 audio file downloads per month. These limits reset on the first day of each calendar month. Usage limits are per account and may not be transferred or combined.
Uploaded audio files must be in MP3 or WAV format and may not exceed 10MB in size. Mixed output WAV files are retained for 7 days from the date of your mixing session, after which they are permanently deleted. Session reports (PDF and CSV) are retained indefinitely.
Failed mixing sessions that result from server errors or system instability do not count against your monthly usage limits. We reserve the right to modify usage limits, file size restrictions, and retention periods at any time with reasonable notice.
The Service uses third-party services including Music.ai for stem separation processing. Your audio files are transmitted to Music.ai's servers for stem separation and are subject to Music.ai's terms of service and privacy policy in addition to our own. We are not responsible for the performance, availability, or data handling practices of third-party services.
The Service may also use other third-party services for infrastructure, email delivery, and storage. We take reasonable steps to ensure that third-party services we use maintain appropriate data security standards.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE MIXED OUTPUT WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.
AI-generated mixing results are produced autonomously and may not always reflect professional-quality outcomes. Output quality depends on many factors including the quality of the uploaded audio, genre selection, and the current state of the AI model. NeuroMix AI makes no guarantee regarding the sonic quality or commercial usability of any mixed audio output.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEUROMIX AI, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $50 USD, WHICHEVER IS GREATER.
Our Privacy Policy describes how we collect, use, and share information about you when you use the Service. By using the Service, you agree to the collection and use of your information as described in our Privacy Policy.
We collect information necessary to operate the Service, including your email address, name, usage data, and session metadata. We do not sell your personal information to third parties. We do not use advertising or allow advertisers to target you based on your use of the Service.
You may close your account at any time by contacting us at info@neuromixai.com. Upon account closure, your account data and any remaining mixed audio files will be deleted within 30 days.
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason including violation of these Terms. Upon termination, your license to use the Service ceases immediately.
Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in Blount County, Tennessee, administered under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration. Either Party may seek emergency equitable relief in a court of competent jurisdiction pending arbitration.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
